Matt Hjortsberg successfully tried a case in the Circuit Court for Baltimore County concerning disputed membership interests in a limited liability company and breaches of fiduciary duties by one of the owners. Mr. Hjortsberg’s client alleged that he was an 84.2 percent owner and the other member of the LLC alleged that the ownership was split fifty/fifty. Mr. Hjortsberg secured a declaratory judgment affixing the ownership interest at 84.2 and 15.8, secured an order for permanent injunction prohibiting the minority member of the LLC from interfering with the business of the LLC and from using the LLC property without proper payments to the LLC, and secured a monetary award for the other member’s use and profiteering without proper remuneration to the LLC. In short, Mr. Hjortsberg secured a victory on all claims.
