On October 4, 2012, several “TechBreakfasters,” who are regular attendees of the Baltimore Tech Breakfast (http://www.meetup.com/TechBreakfast), participated in a day long workshop led by Mark T. Jensen and Jeremy T. Garner of Bowie & Jensen, LLC. The event was designed to provide entrepreneurs and start-ups with a crash course on the nuts and bolts of building a solid legal foundation for their businesses. Topics included choice of entity; shareholder agreements and operating agreements; independent contractors; employment agreements and post employment restrictions like non-competition and non solicit agreements; non-disclosure agreements; and equity incentive plans and strategies. Recent developments in the law were covered and all participants left with template agreements for each of the areas covered. The format was small enough to allow for a very interactive day. Several participants took the opportunity to have an entity formed for them during the presentation by Lisa Noell, a corporate paralegal for Bowie & Jensen, LLC.
