Venture Capital; Mergers, Acquisitions And Financing

Bowie & Jensen lawyers have negotiated, conducted and coordinated numerous mergers, acquisitions and financing transactions, including mezzanine, prior round take-outs, roll up, direct equity financing, and related transactions such as corporate redemptions, recapitalizations and reorganizations.  We concentrate our practice in private closely held business transactions, where we have the most experience, but while our typical transaction is between two privately held entities, we have conducted acquisitions with publicly traded companies where we are counsel to the seller (the non public entity).

In addition to being issuer’s counsel we have also counseled venture capital firms in financing and acquisition transactions and complex multi-state corporate reorganizations and roll ups. 

Our attorneys assist in all aspects of the typical legal work involved in these deals, from exempt securities compliance in all states, to tax and highly compensated employee incentive issues – which includes Section 83 (restricted stock), 424 (Incentive Stock Option and Stock Appreciation Rights) plans, 409A deferred comp plans and phantom equity/alternative contractual plans.1

Practice Area Focus

  • Assisted a multi-national company divest a portion of its business to an Indian publicly traded company in a complex partial divestiture
  • Assisted a venture group in acquiring an existing profitable business using venture debt and equity capital sources
  • Assisted a client obtain mezzanine debt financing to continue operations through to an eventual sale
  • Assisted in strategic liability and risk reduction plans for a mutli-national company including coordinating numerous counsel in international markets in the overall plan
