Bowie & Jensen's Commercial Real Estate Department represented an entrepreneur in the assignment of a real estate contract to other investors interested in assuming the entrepreneur’s debt on another project, all with mutual releases between the entrepreneur and the other investors as to their long history of business dealings and obligations accumulated along the way.
Construction Law
Matthew Hjortsberg recently gave a presentation entitled “Foundations of Construction Law for the Bench and Bar” at the annual Maryland State Bar Association conference. Mr. Hjortsberg discussed the basics of construction law, its unique terminology, and provided an overview of the contractual, tort, statutory and regulatory relief in trying and/or defending a construction law case to practitioners and judges from throughout Maryland.
Bowie & Jensen’s Construction Law Department obtained a default judgment on behalf of an interior design firm against the developer, after the developer failed to make payments for work performed and materials furnished by the interior design firm. The interior design firm was tasked with handling the interior design, interior architecture and F.F.&E. procurement a planned new development in Howard County.
Jay Merwin was certified as a LEED® Green Associate for purposes of compliance with the LEED (Leadership in Energy and Environmental Design) rating system developed by the U.S. Green Building Council. LEED is an internationally recognized green building certification system, providing third-party verification that a building or community was designed and built using strategies aimed at energy efficiency.
Bowie & Jensen’s Construction Law Department successfully represented a general contractor in a bid protest related to the solicitation for the renovation and addition of a public school in Baltimore County. The general contractor was ultimately awarded the bid for the renovation and addition to the public school, resulting in the issuance of a multi-million dollar contract with the county.
Bowie & Jensen’s Construction Law Department obtained full payment for a subcontractor that performed work and provided materials on a Federal project in Washington D.C. after making a payment bond claim against the general contractor’s surety.
Bowie & Jensen’s Construction Law Department secured payment for a contractor performing tenant fit-out work at Harborplace Mall & The Gallery in Baltimore, Maryland, after steps were taken to establish a mechanic’s lien on the property.
Corporate Law
Bowie & Jensen's Corporate Law Department represented a company in significantly increasing its stake in another company with related, complementary business, working on the buy-out of inactive principals of the other company and overhauling governing documents for new management and succession planning arrangements. We also provided for the issuance of additional membership interests in the other company to qualify for a “safe harbor” exemption from securities registration laws.
Bowie & Jensen's Corporate Law Department represented a company embarking on a nation-wide business that required guidance on complying with the laws governing its business from state to state, including advertising regulations, and registration to do business in those jurisdictions.
Intellectual Property
Bowie & Jensen's Intellectual Property Department recently assisted a client in setting up an exclusive distribution arrangement in the United States and internationally including the Swains Islands, the Trust Territory of the Pacific Islands and Northern Marana Islands.
